Affiliate Agreement (ClickBank)

Approval and Authority: We reserve the right to reject any web site if we determine, in our sole discretion and following our review of your site, that your site is unsuitable for any reason, including, but not limited to, inclusion of content that is in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically, or otherwise objectionable, or that includes or promotes sexually explicit materials, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.

Acceptance into the Program: Your application to the Affiliate Program will be evaluated against minimum criteria for participating web sites. Please note that we are only likely to approve web sites with complementary content and visitor demographics. You will be notified as soon as possible as to the acceptance of your application. We may reject any application if we determine, in our sole discretion, and following our review of your site, that your web site is unsuitable for any reason, including, but not limited to, the following:

* Web site is not in English language and we cannot evaluate its content.
* Web site is not of suitable content and therefore does not attract visitors who match Hypnoticmp3' desired demographic profile.
* Web site provides incentives for visitor activity.
* Content of web site is in any way unlawful, harmful, threatening, defamatory, obscene, harassing or racially, ethnically or otherwise objectionable.
* Web site includes or promotes sexually explicit materials, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.

Involvement in the Program will not be permitted prior to acceptance, or following rejection, of your application. We reserve the right to terminate the agreement, following acceptance of your application, if we thereafter determine, in our sole discretion, that your site is unsuitable for the Program.

Upon the termination of this Agreement for any reason, you will immediately cease use of, and remove from your site, all links to our site. We must also reserve the right to revise the criteria for Affiliate Sites as and when necessary.

Email Promotion: You may not, at any time, use any link to Mind-fit in any unsolicited email promotion. Email recipients must have visited your web site and specifically requested to be placed on your mailing list. All email promotion activities must at all times fully comply with all relevant international laws.

Recording of Statistics: Statistics are handled by Clickbank/Keynetics. You will receive an automatic notification of each sale, and have access to your unique ClickBank account which logs all your transactions in real time. Hypnoticmp3 is not responsible for the Conduct of ClickBank, nor responsible for disputes between the Affiliate and Clickbank/Keynetics.

Sales: Sales from unique visitors reaching our site from your Affiliate link are recorded by Clickbank/Keynetics. We cannot enter into any discussions as to expected referrals and can only make payments when and if the customer has entered through your hop link and purchased on an occasion when they have entered through your hoplink, or their IP address was recognized by the system as having been referred through your hoplink.

Payment: Payments are handled directly by Clickbank/Keynetics. The original payment level is to receive a check when your account has reached the sum of $100 USD. This may be changed in view of higher earnings to reduce banking charges for all concerned.

Terms of Use: The Hypnoticmp3 Affiliate Program offers selected range of content expressly for the purposes of promotion of Hypnoticmp3.com, its content and activities. The content offered under this Program, including text, images, audio, video and downloadable files, must be used 'as-is', without material alteration and must incorporate a link to the Hypnoticmp3 web site.

Use of Hypnoticmp3 content materials not contained within the Hypnoticmp3 Affiliate Center at http://Hypnoticmp3.com is expressly forbidden, except as agreed in writing between the parties. The use of content excerpts will normally be permitted upon request.

Termination: Violation of the above email promotion provision, of any law relating to email promotional activities, our copyright or other legal rights, conduct that may bring Hypnoticmp3 into disrepute or any other section of these terms and conditions is grounds for immediate removal from the program.

Deliberate breach of these terms and conditions shall invalidate this agreement and render the Affiliate ineligible to receive any payments. It is your responsibility to ensure that you comply with these terms and conditions at all times.

Variation: We reserve the right to alter these Terms and Conditions as necessary with or without notice. Changes to the Terms and Conditions shall be posted to this web page. Affiliates agree to be bound by the then current Terms and Conditions throughout their participation in the Hypnoticmp3 Affiliate Program.

Payment

Payment for eligible Affiliate activity will be made by Clickbank/Keynetics under the following conditions:

1. No payment will be made to any Affiliate found to be in breach of any provision of the then current Hypnoticmp3 Affiliate Program Terms and Conditions. This is especially relevant to non-opt in email or spamming which is not acceptable in any variation.

2. Payments will be made as soon as the Affiliate's account has reached $100 USD. Subsequent payments can be chosen as different amounts, or set to be received monthly instead upon advice.

3. The minimum check payment amount is $100. Amounts less than $100 will be carried forward until the minimum payment has been reached.
